In the event of a breach by the Client of any Vendor Pass-Through Terms, BritHaven Tech reserves the right to invoice the Client for the difference between the special price and the standard Vendor list price.\n<\/p>\n <\/div>\n <\/div>\n\n \n <div class=\"section\" id=\"s6\">\n <div class=\"section-header\">\n <span class=\"section-num\">06<\/span>\n <h2 class=\"section-title\">Pricing, Invoicing & Payment\n<\/h2>\n <\/div>\n\n <div class=\"clause\">\n <div class=\"clause-label\">6.1 Pricing<\/div>\n <p>All prices are exclusive of Value Added Tax (VAT) unless otherwise stated. VAT will be applied at the prevailing UK rate applicable at the date of invoice. Prices are quoted in Pounds Sterling (GBP) unless otherwise expressly agreed in writing. BritHaven Tech reserves the right to amend pricing at any time prior to the issuance of an Order Confirmation.\n<\/p>\n <\/div>\n\n <div class=\"clause\">\n <div class=\"clause-label\">6.2 Invoicing<\/div>\n <p>BritHaven Tech will issue a VAT invoice upon Order Confirmation or Delivery, as applicable. For new Clients, or for Orders of significant value, BritHaven Tech may require payment in full prior to fulfilment. Credit terms, where granted, are subject to ongoing credit assessment and may be varied or withdrawn at BritHaven Tech's sole discretion.\n<\/p>\n <\/div>\n\n <div class=\"clause\">\n <div class=\"clause-label\">6.4 Late Payment<\/div>\n <p>In the event of late or non-payment, BritHaven Tech reserves the right to: (a) charge statutory interest pursuant to the Late Payment of Commercial Debts (Interest) Act 1998, at a rate of 8% per annum above the Bank of England base rate from the due date until actual payment; (b) charge a fixed sum for debt recovery in accordance with the Late Payment of Commercial Debts Regulations 2002; (c) suspend fulfilment of outstanding or future Orders; and (d) terminate the Client's account and any active agreements.\n<\/p>\n<div class=\"clause\">\n <div class=\"clause-label\">6.5 Disputed Invoices\n<\/div>\n <p>The Client must notify BritHaven Tech in writing of any invoice dispute within ten (10) business days of the invoice date, providing full particulars of the dispute. Undisputed amounts must be paid by the due date. BritHaven Tech and the Client agree to use reasonable endeavours to resolve any invoice dispute within fifteen (15) business days of notification.\n<\/p>\n<div class=\"clause\">\n <div class=\"clause-label\">6.6 Taxes & Withholding\n<\/div>\n <p>The Client is responsible for all applicable taxes, duties, withholdings, and levies arising from any transaction. By placing an Order, the Client unconditionally agrees to be bound by all applicable Vendor Pass-Through Terms. It is the Client's responsibility to review such terms prior to placing an Order. Where required by a Vendor, BritHaven Tech may require the Client to separately execute Vendor agreements.\n<\/p>\n <\/div>\n\n <div class=\"clause\">\n <div class=\"clause-label\">4.3 Product Descriptions & Accuracy\n<\/div>\n <p>Product descriptions, feature specifications, and compatibility information published on this Website are derived from information provided by Vendors and are supplied in good faith. BritHaven Tech accepts no liability for inaccuracies in Vendor-supplied information. Clients are advised to consult official Vendor documentation to verify suitability prior to purchase.\n<\/p>\n <\/div>\n\n <div class=\"clause\">\n <div class=\"clause-label\">4.4 Availability<\/div>\n <p>All Orders are subject to stock and licence availability at the time of fulfilment. If a Product becomes unavailable following Order Confirmation, BritHaven Tech will notify the Client promptly and will either offer a suitable equivalent product or provide a full refund of any sums paid. BritHaven Tech shall not be liable for any loss arising from product unavailability.\n<\/p>\n<div class=\"clause\">\n <div class=\"clause-label\">4.5 Professional Services\n<\/div>\n <p>Where BritHaven Tech agrees to provide Services, the scope, deliverables, timelines, resource requirements, and fees shall be set out in a separate Statement of Work (SOW). These Terms shall apply to all Services unless expressly superseded by the relevant SOW.\n<\/p>\n <\/div>\n <\/div>\n\n \n <div class=\"section\" id=\"s5\">\n <div class=\"section-header\">\n <span class=\"section-num\">05<\/span>\n <h2 class=\"section-title\">Quotes & Order Process\n<\/h2>\n <\/div>\n\n <div class=\"clause\">\n <div class=\"clause-label\">5.1 Quote Requests\n<\/div>\n <p>Submissions via our online quote request form or by email constitute an invitation to treat and do not create a binding obligation on BritHaven Tech. BritHaven Tech's UK sales team will endeavour to respond to quote requests within four (4) business hours during standard working hours (Monday to Friday, 08:30\u201317:30, excluding UK public holidays and bank holidays).\n<\/p>\n <\/div>\n\n <div class=\"clause\">\n <div class=\"clause-label\">5.2 Validity of Quotes\n<\/div>\n <p>Unless expressly stated otherwise in writing, all Quotes issued by BritHaven Tech remain valid for thirty (30) calendar days from the date of issue. Quotes are subject to final Vendor pricing confirmation and availability at the time of Order acceptance. BritHaven Tech reserves the right to withdraw or revise a Quote at any time prior to Order Confirmation.\n<\/p>\n <\/div>\n\n <div class=\"clause\">\n <div class=\"clause-label\">5.3 Formation of Contract<\/div>\n <p>A legally binding contract between BritHaven Tech and the Client is formed only upon BritHaven Tech's written issuance of an Order Confirmation. BritHaven Tech reserves the right to decline any Order at its absolute discretion, including where there are concerns regarding pricing accuracy, product availability, creditworthiness, or regulatory compliance.\n\n<\/p>\n <\/div>\n\n <div class=\"clause\">\n <div class=\"clause-label\">5.4 Order Amendments & Cancellations\n<\/div>\n <p>Once an Order Confirmation has been issued, amendments or cancellations may only be accepted at BritHaven Tech's sole discretion and may incur cancellation charges, restocking fees, or administration costs. Orders for activated or provisioned software licences, cloud subscriptions, and digital products are non-cancellable and non-refundable except as required by applicable law or expressly permitted under the relevant Vendor's terms.\n<\/p>\n<div class=\"clause\">\n <div class=\"clause-label\">5.5 Vendor Authorisation & Special Pricing\n<\/div>\n <p>Where BritHaven Tech has obtained special or promotional pricing from a Vendor for a specific Client transaction, such pricing is conditional upon the Client's compliance with all applicable Vendor terms. In the event of a breach by the Client of any Vendor Pass-Through Terms, BritHaven Tech reserves the right to invoice the Client for the difference between the special price and the standard Vendor list price.\n<\/p>\n <\/div>\n <\/div>\n\n \n <div class=\"section\" id=\"s6\">\n <div class=\"section-header\">\n <span class=\"section-num\">06<\/span>\n <h2 class=\"section-title\">Pricing, Invoicing & Payment\n<\/h2>\n <\/div>\n\n <div class=\"clause\">\n <div class=\"clause-label\">6.1 Pricing<\/div>\n <p>All prices are exclusive of Value Added Tax (VAT) unless otherwise stated. VAT will be applied at the prevailing UK rate applicable at the date of invoice. Prices are quoted in Pounds Sterling (GBP) unless otherwise expressly agreed in writing. BritHaven Tech reserves the right to amend pricing at any time prior to the issuance of an Order Confirmation.\n<\/p>\n <\/div>\n\n <div class=\"clause\">\n <div class=\"clause-label\">6.2 Invoicing<\/div>\n <p>BritHaven Tech will issue a VAT invoice upon Order Confirmation or Delivery, as applicable. All invoices will be issued electronically to the billing contact nominated by the Client. The Client is responsible for ensuring that correct billing details are provided and maintained.\n<\/p>\n <\/div>\n\n <div class=\"clause\">\n <div class=\"clause-label\">6.3 Payment Terms<\/div>\n <p>Unless otherwise agreed in writing, payment is due within thirty (30) days from the date of invoice (net 30). For new Clients, or for Orders of significant value, BritHaven Tech may require payment in full prior to fulfilment. Credit terms, where granted, are subject to ongoing credit assessment and may be varied or withdrawn at BritHaven Tech's sole discretion.\n<\/p>\n <\/div>\n\n <div class=\"clause\">\n <div class=\"clause-label\">6.4 Late Payment<\/div>\n <p>In the event of late or non-payment, BritHaven Tech reserves the right to: (a) charge statutory interest pursuant to the Late Payment of Commercial Debts (Interest) Act 1998, at a rate of 8% per annum above the Bank of England base rate from the due date until actual payment; (b) charge a fixed sum for debt recovery in accordance with the Late Payment of Commercial Debts Regulations 2002; (c) suspend fulfilment of outstanding or future Orders; and (d) terminate the Client's account and any active agreements.\n<\/p>\n<div class=\"clause\">\n <div class=\"clause-label\">6.5 Disputed Invoices\n<\/div>\n <p>The Client must notify BritHaven Tech in writing of any invoice dispute within ten (10) business days of the invoice date, providing full particulars of the dispute. Undisputed amounts must be paid by the due date. BritHaven Tech and the Client agree to use reasonable endeavours to resolve any invoice dispute within fifteen (15) business days of notification.\n<\/p>\n<div class=\"clause\">\n <div class=\"clause-label\">6.6 Taxes & Withholding\n<\/div>\n <p>The Client is responsible for all applicable taxes, duties, withholdings, and levies arising from any transaction.
